CIMA treats the switch as cancellation under the original Act followed by a fresh registration under the other Act, and annual fees already paid generally do not transfer within the same year. The fund must complete the applicable cancellation through REEFS, lodge the new application, and for an open-ended-to-closed-ended change provide updated investor/constitutional evidence and operator attestations; unchanged auditors and administrators need not issue new consents.

CIMA expects the Registrar's certificate in the new SPC name, a revised offering document, the original CIMA certificate where applicable, and revised auditor and administrator consents naming the SPC and relevant portfolios. The published charges include CI$125 for the revised offering document and CI$625 for the name change; additions of portfolios use REEFS form ADD-125-99 and should also be notified to the Registrations team.

Yes, where constitutive documents or another legally binding arrangement expressly provide that the vehicle has, and will always have, only one investor of record. The restriction should be legally effective rather than merely an expectation about current ownership.

It is filed electronically through CIMA's secure Regulatory Enhanced Electronic Forms Submission portal, REEFS, by an authorised user.

CIMA must be able to review the terms offered to investors. Where no separate offering memorandum, term sheet or marketing material contains those terms, the constitutive documents—and later amendments—serve as the operative disclosure record.

It should explain the investment strategy and geography, interests/classes and any minimum investment, the initial no-redemption period, operators and key service providers, NAV/valuation responsibilities, year-end and reporting basis, term, material risks and conflicts, PFA regulation and AML arrangements. Self-administered structures should identify which party performs each administration function.

Common grounds include missing operators on REEFS, an investment manager lacking required SIBA authorisation, absent fee evidence, incorrect or incomplete attachments, and inconsistent legal names across documents. A technically incomplete package may be rejected rather than held open for processing.

A clean, internally consistent package is ordinarily processed within CIMA's stated timeline.

A regulated master fund holds investments and conducts trading while receiving investment from one or more regulated feeder funds. A regulated feeder fund invests more than 51% of its assets in a master fund, directly or through an intermediary.

The service provider should obtain confirmation directly from the proposed director that the director is DRLA-compliant. The director is responsible for disclosing and regularising any non-compliance before the fund application is submitted.

The principal limbs are honesty, integrity and reputation; competence and capability; and financial soundness. The evidence should be prepared consistently with CIMA's current fitness-and-propriety guidance.

It is a letter explaining why the fund was not required to register earlier—for example, because it did not previously meet the mutual-fund definition. It should accompany an application when the formation certificate predates the requested registration date by more than six months.

Before filing, the service provider should confirm that the investment manager holds any authorisation required under SIBA. The manager must disclose its status and cure any deficiency before it is named in the application.

Under section 5.1 of CIMA's cancellation procedures, the fund must have met all audit requirements, paid every applicable fee and penalty, and cleared all outstanding regulatory queries or obligations.
