Securities and Investment Business Act — selected provisions
This page selects provisions on functionaries, fund administrators, record retention, financial statements and regulatory reporting from sections 40–81, and uses section 5 of the 2023 Amendment Act to explain the later amendment chain.
The 2020 Revised Edition must be read with later amendments and commencement notices. The 2023 Amendment Act itself provides for commencement on a date appointed by the Minister by Gazette notice; this page does not assume commencement.

Section 40(1), definition of “functionary” / 第40(1)条“functionary”定义
BVI-SIBA“functionary”, in relation to a mutual fund, means— (a) the manager, administrator, investment advisor or custodian of the fund; (b) in the case of a fund that is a unit trust, the trustee; (c) a prime broker acting for, or in relation to, a fund; or (d) a person undertaking such other function with respect to the fund as may be specified in the Mutual Fund Regulations;
就共同基金而言，“职能服务商”指：(a) 基金的管理人、行政管理人、投资顾问或保管人；(b) 如基金为单位信托，则包括受托人；(c) 为基金或就基金行事的主经纪商；或 (d) 承担《共同基金规例》可能就基金指定的其他职能的人士。
BVI-SIBA“fund administrator” means a person who, by way of business, provides a mutual fund with fund administration services;
“基金行政管理人”指以经营业务方式向共同基金提供基金行政管理服务的人士；
Section 41(2) / 第41(2)条
BVI-SIBAA person shall not act as the functionary, or otherwise be concerned with the management or administration, of a mutual fund that carries on business in or from within the Virgin Islands, unless the mutual fund concerned is a public fund, a professional fund, a private fund or a recognised foreign fund.
除非相关共同基金属于公众基金、专业基金、私募基金或获认可境外基金，否则任何人不得担任在维尔京群岛境内或从该地开展业务的共同基金的职能服务商，亦不得以其他方式参与其管理或行政管理。
Section 59(1) / 第59(1)条
BVI-SIBAA mutual fund that is a public fund, a private fund or a professional fund shall maintain records that are sufficient— (a) to show and explain its transactions; (b) at any time, to enable its financial position to be determined with reasonable accuracy; (c) to enable it to prepare such financial statements and make such returns as it is required to prepare and make under this Act and the Mutual Funds Regulations; and (d) if applicable, to enable its financial statements to be audited in accordance with this Act.
属于公众基金、私募基金或专业基金的共同基金须保存足够的记录，以便：(a) 显示并解释其交易；(b) 可随时合理准确地确定其财务状况；(c) 能够编制本法及《共同基金规例》要求其编制的财务报表和提交的申报表；以及 (d) 在适用时，使其财务报表能够依照本法接受审计。

BVI-SIBAA mutual fund to which this section applies shall retain the records required to be maintained under this section for a period of at least 5 years after the completion of the transaction to which they relate.

Section 70(1) / 第70(1)条
BVI-SIBAA relevant licensee and a public fund shall prepare for each financial year financial statements that comply with such accounting standards as may be prescribed.

Section 81(1) / 第81(1)条
BVI-SIBAA licensee, a public fund, a private fund, a professional fund and a recognised foreign fund shall report to the Commission such information as may be prescribed within such time and verified in such manner as may be prescribed.
持牌人、公众基金、私募基金、专业基金及获认可境外基金，须在订明期限内，以订明方式核实并向委员会申报订明资料。

BVI-SIBA-AMEND-2023Section 64 of the principal Act is amended in subsection (2)(c), by inserting after the words “significant interest”, the words “or controlling interest”.
对主体法第64(2)(c)条作出修订，在“重大权益”一词之后加入“或控制权益”。
